Terms of Service

Welcome to CLEOLink. These Terms of Service ("Terms") govern your access to and use of the CLEOLink website, platform, and services (the "Service"). The Service is owned and operated by Echelon Innovative Commerce L.L.C, a Virginia limited liability company ("Echelon," "we," "us," or "our"). "CLEOLink" is the brand name under which Echelon Innovative Commerce L.L.C delivers this Service.

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CLEOLink is an AI-powered sourcing and demand intelligence platform that helps entrepreneurs validate product ideas, surface vetted suppliers, and make informed decisions about e-commerce businesses. Features include:

• Demand validation and AI-generated demand verdicts
• Sourcing concierge requests with supplier suggestions and outreach drafts
• Regional market intelligence and trending product feeds
• Integrations with Shopify, WooCommerce, and similar platforms

2. Account Registration

You must be at least 18 years old to use CLEOLink. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for all activity on your account and for keeping your credentials confidential. Notify us immediately at support@cleolink.com if you suspect unauthorized use.

3. Plans and Pricing

Free tier. Every signed-up user receives one (1) sourcing concierge request and unlimited demand validation at no charge.

Paid plans (billed monthly via Stripe):

• Starter — $19 / month
• Pro — $49 / month
• Agency — $99 / month

Subscriptions renew automatically until cancelled. Prices are in US dollars and may change with 30 days' notice. You can cancel at any time inside your account; cancellation takes effect at the end of the current billing period.

4. Refund Policy

No refunds will be issued once an AI sourcing report or sourcing concierge response has been generated for a request. The AI compute cost is incurred at the moment your request is processed, and that cost cannot be reversed. This applies to both paid plans and any add-on requests.

If you cancel before any AI request is processed in a given billing cycle, contact support@cleolink.com within 7 days of the charge and we will review on a case-by-case basis. Refunds otherwise required by applicable consumer-protection law (for example, EU statutory rights) will be honored.

5. Acceptable Use

CLEOLink may not be used to source, validate, market, or transact in:

• Any product, item, or service that is illegal in the jurisdiction in which you operate or in which the goods are sold
• Weapons, firearms, ammunition, explosives, or weapon components
• Counterfeit goods, trademark-infringing replicas, or pirated media
• Adult products, sexually explicit material, or escort/sex-work services
• Controlled substances, prescription drugs sold without authorization, or unregulated supplements
• Hate-speech merchandise, harassing content, or anything promoting violence

You also agree not to: attempt to gain unauthorized access to the Service, reverse engineer or scrape it, abuse free-tier credits, transmit malware, resell access without written permission, or interfere with other users.

6. AI-Generated Content Disclaimer

All sourcing intelligence, demand verdicts, supplier suggestions, market analyses, and outreach drafts produced by CLEOLink are AI-generated. They are intelligence aids, not professional advice. AI output can be incomplete, outdated, or wrong. You must independently verify any AI-generated information before making purchasing, contractual, or business decisions.

CLEOLink is not your accountant, lawyer, financial advisor, or sourcing agent. Treat the platform as a starting point, not the final word.

7. Supplier Disclaimer

CLEOLink does not guarantee the quality, legitimacy, capacity, certifications, or delivery performance of any supplier surfaced through the Service. Supplier suggestions are generated from public, third-party, and AI-summarized sources and are subject to change without notice. You are solely responsible for conducting your own due diligence — including verifying business licenses, requesting samples, validating certifications, and using escrow / trade-assurance protections — before sending money to any supplier.

Echelon Innovative Commerce L.L.C is not party to any contract you enter into with a supplier and is not liable for any loss, defect, delay, fraud, or non-delivery arising from such contracts.

8. Affiliate Program

CLEOLink runs an affiliate program for users who refer paying customers. Affiliates earn a 20% commission on the gross subscription revenue of each referred paying customer, paid manually on a monthly basis after the referred customer's payment has cleared and is non-refundable.

Commissions are paid in US dollars by the method we agree on. We reserve the right to withhold or reverse commissions for self-referrals, fraudulent activity, chargebacks, or breaches of these Terms. Affiliates may not engage in spam, misleading advertising, trademark misuse, or "incentivized" sign-ups that would violate Stripe or applicable advertising rules.

9. Intellectual Property

You own your data. Sourcing requests, queries, store data you connect, and content you submit remain yours. You grant Echelon Innovative Commerce L.L.C a limited, worldwide license to process that content solely to deliver the Service to you and to maintain our systems.

Echelon Innovative Commerce L.L.C owns the CLEOLink platform. The CLEOLink name, logo, brand assets, software, content, and design are the exclusive property of Echelon Innovative Commerce L.L.C and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works of the platform without our written permission.

10. Termination

We may suspend or terminate your account, with or without notice, for: fraud, abuse of the Service or its credits, breach of the Acceptable Use rules, chargebacks, or any other violation of these Terms. Upon termination your right to use the Service ends immediately. Sections of these Terms that by their nature should survive (IP, disclaimers, limitation of liability, governing law) survive termination.

You may close your account at any time from your settings or by emailing support@cleolink.com.

11. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, nor do we guarantee the accuracy of any AI output, supplier listing, demand score, or market datum.

To the maximum extent permitted by law, Echelon Innovative Commerce L.L.C and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business-opportunity damages. Our total aggregate liability for any claim arising under or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid us in the three (3) months preceding the claim, or (b) US $100.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date and, where appropriate, communicated by email. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
